1. General Provisions

1.1. These Terms and Conditions (the "Terms") govern the relationship between Listx OÜ (the "Agent") and the user (the "Owner") of the service provided at Listx OÜ website (the "Service").

1.2. By uploading photos of an item, the Owner enters into an agency agreement where the Agent is authorized to represent the Owner in the sale of the item.

2. The Service

2.1. The Service consists of:

• Creating a listing based on Owner-provided photos.
• Determining an estimated market price and writing descriptions.
• Publishing the listing on Listx’s managed marketplace and/or selected third-party marketplaces.
• Managing communication and negotiations with potential buyers.
• Facilitating payment and shipping logistics.

2.2. The Agent does not take physical possession of the item. The Owner remains the legal owner until the moment of sale.

3. Owner’s Obligations and Warranties

3.1. The Owner warrants that they have the full legal right to sell the item and that the item is not stolen, counterfeit, or prohibited by Estonian law.

3.2. The Owner must provide accurate photos. Any defects or wear must be visible.

3.3. Once the Agent notifies the Owner of a successful sale, the Owner is obligated to ship the item within 3 business days using the provided shipping method or to notify the Agent about the first possible time to ship the item.

4. Pricing and Commission

4.1. The Agent sets the initial listing price based on market data. The Owner may specify a "minimum acceptable price" when validating the prices of the items.

4.2. The Agent’s commission is 5% of the final sale price, deducted automatically from the sales price upon successful transaction. In case of cash based sales, the Agent has the right to invoice the Owner for the Agent’s commission.

4.3. If an item does not sell within 30 days, the Agent may suggest a price reduction or delist the item.

5. Liability

5.1. The Agent is an intermediary. The sales contract for the item is between the Owner and the Buyer.

5.2. The Owner is solely responsible for the accuracy of the item’s condition. The Agent is not liable for claims regarding hidden defects or non-conformity of the goods.

5.3. The Agent is not liable for the actions or terms of service of third-party marketplaces (e.g., Vinted, Yaga, Facebook Marketplace).

6. Intellectual Property

6.1. By uploading photos, the Owner grants the Agent a non-exclusive, royalty-free, worldwide license to use, edit, and publish the photos for the purpose of providing the Service and marketing.

7. Governing Law

7.1. These Terms are governed by the laws of the Republic of Estonia. Disputes will be settled in Harju County Court.
